What pre-emption means here

Since 2014, sales of extravilan agricultural land — farmland outside a locality's buildable zone — run through a statutory pre-emption procedure under Law 17/2014. The seller cannot simply sign with the buyer of their choice: the sale offer must first be published, through the town hall, to a legally ranked list of pre-emptors who may claim the land at the offered price.

The ranked classes have been refined over the years (notably in 2020) and include, in order of priority: co-owners and close relatives; lessees (arendași); owners of neighbouring parcels; young farmers; agricultural research institutions; resident smallholders in the commune; and the Romanian state. Only if no pre-emptor exercises the right within the statutory display period — on the order of 45 working days — may the seller close with an outside buyer, and then only at the published price and conditions. Selling cheaper to your preferred buyer than you offered the pre-emptors invalidates the deal.

Land intravilan (inside the buildable zone) is outside this law, as are transfers by inheritance or gift. And to be clear on scope: the exact legal sequence and its current amendments are your notary's and lawyer's terrain — this guide is orientation, and our role is the land's technical side.

What it means for an investor's timeline

Pre-emption is a process tax on time, not a prohibition. For most transactions no pre-emptor bites, and the procedure is a fixed waiting period administered by the town hall and, for larger areas, county and ministry approvals. Plan roughly two to three months from offer publication to a signable deed, and structure pre-agreements accordingly. Where a lessee or neighbour is likely to exercise their right, you want to know before building your project on that parcel — which is a due diligence question: who leases the land, who owns the neighbours, what does the local register show?

Two more Law 17-adjacent facts that ambush foreign buyers: post-2020 rules add conditions and a hefty tax on quick resale of agricultural land bought under the procedure — a lawyer conversation before you buy for short-hold strategies — and converting farmland to construction use (for a solar park, for instance) involves its own separate procedures for removing land from the agricultural circuit.

Does pre-emption apply when a company buys the land?

Yes — the procedure attaches to the land and the transaction type (sale of extravilan agricultural land), not to who the buyer is. Romanian companies with foreign shareholders go through it like anyone else.

Can the seller and I just skip the procedure quietly?

No — the notary will not authenticate a sale of extravilan agricultural land without the completed procedure, and a sale made in breach of it is voidable. There is no legitimate shortcut; there is only planning the timeline honestly.
